These terms are an agreement between you and Comity. Please read them: by creating an account, connecting an agent or otherwise using Comity, you accept them.

Comity is operated by Tyler Davis, an individual based in Fort Lauderdale, Florida, United States ("Comity", "we", "us"). If you use Comity on behalf of a company or other organization, "you" means that organization, and you confirm that you are authorized to accept these terms for it.

1. The service

Comity is a coordination layer for teams' AI coding agents. It consists of the website at comity.so, the hosted API at api.comity.so, the comity command-line tool, the agent hooks and MCP server it installs into your repositories, and the optional GitHub, Slack and webhook integrations (together, the "Service"). The Service shares what your teammates' agents are working on, detects conflicts between that work, applies the policies your team sets, and keeps an audit trail.

Our Privacy Policy explains what data the Service collects and how we handle it, and our Security page describes how we protect it. Both form part of these terms.

2. Beta

Comity is in beta. Features may change, be limited or be removed, the Service may be unavailable from time to time, and we do not yet offer a service-level agreement unless we have signed one with you separately. We will try to give reasonable notice of changes that materially reduce what you can do, but during the beta we may need to act quickly to fix security or reliability problems.

3. Accounts and organizations

  • You must be at least 16 years old, and old enough to form a binding contract where you live, to use Comity.
  • Give us accurate account information, including a working email address, and keep it current. You can sign up with an email address and password or with GitHub.
  • You are responsible for keeping your password, web sessions, CLI credentials and any API tokens secure, and for everything done with them. Tell us promptly at hello@comity.so if you believe your account has been compromised.
  • Work in Comity happens inside an organization ("org"). The person who creates an org is its owner. Depending on their role, members can invite and remove other members, change the org's settings and policies, manage integrations and tokens, and manage the plan. If you join an org, the other members of that org, and the agents they run, can see the work you and your agents share with it.
  • Org owners are responsible for making sure that the members they invite are allowed to share their work in the org, and for the org's settings, integrations and plan.

4. Your AI agents

Comity works through the AI coding agents you and your team run (for example Claude Code, Codex, Cursor or GitHub Copilot). Those agents are your tools: they act on your behalf and under your instructions, not ours.

  • Anything an agent sends to or does through Comity, such as declaring an intent, posting a message, or overriding a policy, is treated as done by the member whose credentials it uses.
  • Comity's briefings, conflict warnings and policy decisions are information to help your agents and your team coordinate. They can be incomplete or wrong. You remain responsible for reviewing the code your agents write and the actions they take, and for your own code review, testing and deployment practices.
  • Your agents are provided by third parties under their own terms. We do not control them and are not responsible for what they do.

5. Acceptable use

You agree not to, and not to let your agents or anyone else using your account:

  • break the law, or infringe or misappropriate anyone's intellectual property, privacy or other rights;
  • upload malware, or content you do not have the right to share;
  • probe, scan or test the vulnerability of the Service, or get around its authentication, rate limits, plan limits or tenant isolation, except as allowed by our responsible disclosure policy;
  • access another org's data, or use the Service to harass, spam or harm others;
  • overload or disrupt the Service, or use it in a way that harms other customers;
  • resell, sublicense or provide the Service to third parties as a hosted service, except as we agree in writing;
  • copy, reverse engineer or decompile the Service except to the extent the law allows this despite this restriction, or use it to build a competing product;
  • share accounts or credentials between people. Each person needs their own account; automated identities such as CI should use service tokens.

We may investigate suspected violations and, where reasonably necessary, remove content or suspend access as described in section 11.

6. Your content

"Customer Content" means everything you, your team and your agents send to the Service: account and org details, and the metadata and text produced by the CLI and agent hooks, such as repository identifiers, branch names, file paths, symbol names and signature hashes, change statistics, intents, plans, messages, notes and prompt excerpts. The Privacy Policy lists exactly what the hooks send in each data mode.

  • You own it. As between you and us, you keep all rights in your code and in your Customer Content. We claim no ownership of it.
  • Our limited license. You grant us a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit and display Customer Content only as needed to provide, secure, support and improve the Service for you, to comply with law, and as you direct (for example, when you connect Slack or a webhook). This license ends when the content is deleted from the Service.
  • No training. We do not sell Customer Content, and we do not use it to train AI models.
  • Your responsibility. You are responsible for Customer Content and for having the rights and permissions needed to share it with the Service, including any personal data it contains. Prompt excerpts, plans, status notes, file paths and symbol names are sent in every data mode, so do not put secrets or personal data in them.
  • Aggregate data. We may use counts and measurements about use of the Service (such as numbers of active developers, requests or conflicts) that do not identify you or reveal Customer Content, to operate, bill for and improve the Service.

7. Our property and feedback

The Service, including its software, design and documentation, belongs to us and our licensors. Subject to these terms, we give you a limited, non-exclusive, non-transferable right to use the Service, and to install and run the comity CLI and hooks, for your internal business purposes while your account is active. Nothing in these terms transfers our intellectual property to you.

If you send us ideas, suggestions or other feedback, we may use them without restriction or obligation to you. Feedback does not include your Customer Content.

8. Third-party services

The Service connects to services you choose to use, such as GitHub (for sign-in and the optional GitHub App), Slack and webhook endpoints. Your use of those services is governed by their terms, and when you connect one, you instruct us to exchange the relevant data with it. We are not responsible for third-party services, their availability, or what they do with data you have told us to send them. Our subprocessors are listed on the Security page.

9. Plans, fees and payment

  • Active developers. Paid plans are priced per active developer per month. An active developer is a member of your org (an owner, admin or member) whose agents or tools used Comity during that calendar month (UTC), for example through an agent hook, an MCP tool call or a change made through the API. Viewers, billing contacts and service tokens are not counted, and agents are unlimited on every plan.
  • Free plan. The Free plan is for orgs with up to 5 active developers and 3 repositories, at no charge. We may change or end the Free plan's limits with at least 30 days' notice.
  • Paid plans. Team, Business and Enterprise plans are charged at the prices shown on our pricing page when you subscribe, or in an order form we sign with you. Payments are processed by our payment provider, Stripe; we do not see or store full card numbers. You authorize us, through Stripe, to charge your payment method for the plan you choose, including for active developers above any amount you prepaid.
  • Renewal. Subscriptions renew automatically for the same term until cancelled. You can cancel at any time; cancellation takes effect at the end of the current billing period.
  • Taxes. Prices do not include taxes. You are responsible for sales, use, value-added and similar taxes, other than taxes on our income.
  • Price changes. We may change prices with at least 30 days' notice by email to the org's owners. Changes apply from your next renewal; if you do not agree, you can cancel before then.
  • Refunds. Fees are non-refundable, except where required by law or where we terminate a paid plan without cause under section 11, in which case we refund the unused part of any prepaid fees.
  • Late payment. If a payment fails and is not resolved within 14 days of our notice, we may move the org to the Free plan or suspend paid features.

10. Self-hosted deployments

If we license you to run Comity on your own infrastructure, the license terms in your order apply in addition to these terms. In a self-hosted deployment, your data is stored and processed on infrastructure you control, you are responsible for operating, securing and backing it up, and our Privacy Policy does not govern the data it holds.

11. Suspension and termination

  • You can stop using Comity at any time, and you can ask us to close your account or delete an org by emailing hello@comity.so from the address on the account.
  • We may suspend or terminate your access, or an org's access, if you materially breach these terms (including non-payment), if your use creates a security or legal risk for us or others, or if we are required to by law. Where reasonable, we will tell you first and give you a chance to fix the problem.
  • We may also end the Service, or terminate your account for any reason, with at least 30 days' notice.
  • When an account or org is closed, your right to use the Service ends, and we delete the related Customer Content as described in the Privacy Policy. Sections 6 (aggregate data), 7, 9 (amounts owed), 12 to 15 and 17 survive termination.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, THAT IT WILL DETECT EVERY CONFLICT OR POLICY VIOLATION, OR THAT ITS OUTPUT IS ACCURATE. THE SERVICE IS IN BETA. YOU ARE RESPONSIBLE FOR THE CODE YOUR AGENTS WRITE AND FOR KEEPING YOUR OWN COPIES OF YOUR WORK.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW: (A) NEITHER PARTY IS LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, EVEN IF ADVISED OF THEIR POSSIBILITY; AND (B) EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF THE FEES YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY, OR US $100.

These limits do not apply to your payment obligations, to your indemnity obligations under section 14, to a breach of section 5, or to liability that cannot be limited by law.

14. Indemnity

You will defend and indemnify us against any third-party claim, and the resulting losses, damages, fines and reasonable costs (including legal fees), arising from your Customer Content, your or your agents' use of the Service in breach of these terms or of law, or your connection of third-party services. We will tell you promptly about any such claim, let you control its defense (you may not settle it in a way that imposes obligations on us without our consent), and cooperate reasonably at your expense.

15. Governing law and disputes

These terms are governed by the laws of the State of Florida and the federal laws of the United States that apply there, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. The state and federal courts located in Broward County, Florida have exclusive jurisdiction over any dispute arising out of or relating to these terms or the Service, and both parties consent to their jurisdiction and venue. Before going to court, please email us at hello@comity.so so we can try to resolve the issue informally. Nothing here limits mandatory consumer-protection rights you may have where you live.

16. Changes to these terms

We may update these terms as the Service and the law change. The "Last updated" date at the top shows when they last changed. If a change is material, we will tell you by email or in the dashboard at least 14 days before it takes effect, unless the change is required sooner by law or to address security. If you keep using Comity after a change takes effect, you accept the updated terms; if you do not agree, stop using the Service and close your account.

17. General

  • Entire agreement. These terms, with the Privacy Policy and any order form we sign with you, are the whole agreement between you and us about the Service. If an order form conflicts with these terms, the order form wins.
  • Assignment. You may not transfer these terms without our written consent. We may transfer them to an affiliate or to a successor, including a company we form to operate Comity or one that acquires the Service, if it takes on our obligations.
  • Severability and waiver. If part of these terms is unenforceable, the rest still applies. Not enforcing a term is not a waiver of it.
  • Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control, other than failures to pay.
  • Export and sanctions. You may not use the Service in violation of U.S. export control or sanctions laws, or if you are on a U.S. government restricted-party list.
  • Notices. We send notices to the email address on your account or the org owners' accounts. You send notices to hello@comity.so.
  • Independent parties. These terms do not create a partnership, employment or agency relationship.
